Terminology

In these terms and conditions, the expressions "we" , "us" and "our" are a reference to Magnus Advertising and Marketing Pty Ltd (ACN 066 237 429).

Terms and Conditions

These terms and conditions apply to the use of this web site. In using this web site, you agree to be bound by these terms and conditions. If you do not accept these terms and conditions, you must refrain from using the web site. These terms and conditions must be read in conjunction with any other applicable terms and conditions governing the use of this web site.

Amendments to Terms and Conditions

We reserve the right to amend, vary or replace these terms and conditions at any time, at our discretion. Your continued use of the web site will be your acceptance of any amendment, variation or replacement of these terms and conditions.

You agree to use this web site only for purposes that are permitted by:

Accounts

In order to have access to Vouchers and to be able to buy Vouchers, you must first create a registered account on the web site ('Account').

This will enable you to:

receive information and emails from us about Vouchers;
buy a Voucher;
change your details such as email address, geographic location, credit card details and passwords;
receive and print Vouchers you have bought; and
look at past Vouchers you have bought.

When registering your Account, you must provide accurate and complete information about yourself and keep this information up-to-date.

We reserve the right to refuse registration of an Account (or to close an existing Account) where:

you have opened, or are attempting to open, an Account in a fraudulent or illegal way;
you are in breach of these terms and conditions;
to do so is necessary to comply with the law
you already have an Account.

You are alone responsible for your account activity and for keeping your Account login and passwords secure.

Legal Capacity

When making an order to buy a Deal, you warrant to us that you are:

eighteen (18) years of age or above; and
entering into a legally binding contract with us.

Limitation of Liability

Subject to the disclaimer below neither we nor any or our related bodies corporate (as that term is defined in the Corporations Act 2001) is liable:

to you or anyone else (including for negligence, breach of contract or tort) for any loss or damage (including any form of consequential loss such as any third party loss, loss of profits, loss of revenue, loss of opportunity, loss of anticipated savings, pure economic loss and any increased operating cost) however caused and which is suffered directly or indirectly in connection with your use of this web site;
for disruptions to this web site; and
to you or anyone else if interference with or damage to your computer systems occurs in connection with use of this web site or an external web site.
You must take your own precautions to ensure that whatever you select for use from this web site is free of viruses or anything else that may interfere with or damage the operation of your computer systems.

To the extent permitted by law, any condition or warranty which would otherwise be implied into these terms and conditions is hereby excluded. Notwithstanding anything in this agreement to the contrary, where any law (including the Australian Consumer Law and the Competition and Consumer Act 2010 (Cth)) implies a warranty into this agreement which may not be lawfully excluded, then to the extent allowed by law, our liability for breach of the warranty will be limited to the minimum remedy provided for in that law. To the extent permissible at law that liability will not exceed the price paid to us by you for the voucher in question

Indemnity

You will at all times indemnify, and keep indemnified, us and our directors, officers, employees, agents and related bodies corporate (as that term is defined in the Corporations Act 2001) from and against any loss (including reasonable legal costs and expenses on a full indemnity basis) or liability incurred or suffered by you or by us arising from any claim, demand, suit, action or proceeding by any person against you or us where such loss or liability arose out of, in connection with or in respect of your use of the web site, your conduct and/or your breach of these terms and conditions.

Any information that is published on the web site about particular goods and services is based on material supplied to us by Merchants and other third parties. You agree that we will not be held liable for the publication on the web site of any inaccuracies or errors in information relating to goods and services that it has received from Merchants and other third parties.

You are responsible for:

making your own reasonable enquiries to verify information that is published on the web site about particular goods and services; and
assessing the suitability of goods and services prior to you placing an order for a Voucher for a Deal relating to those goods or services.

These terms and conditions are governed by the laws in force in New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of that jurisdiction.

General

We accept no liability for any failure to comply with these terms and conditions where such failure is due to circumstances beyond our reasonable control.

If we waive any rights available to us under these terms and conditions on one occasion, this does not mean that those rights will automatically be waived on any other occasion.

If any of these terms and conditions are held to be invalid, unenforceable or illegal for any reason, the remaining terms and conditions shall nevertheless continue in full force.

USER AGREEMENT

Orders

We will give Account holders an opportunity to buy vouchers which you can redeem with third party merchants ("Merchant") for goods and services at discounted rates on the terms and conditions of the Merchant ("Deals"). By making an order to buy a voucher on the web site, you agree to receive and be charged for the voucher when we have received a minimum quantity of offers to buy a voucher from Account holders during a specified availability period ("Minimum Quota").

The promotion or publication or both of Vouchers on the web site or in any emails you receive from us does not constitute an offer from us to sell you the Voucher, the Deal or the goods and services that mentioned in the Deal. The promotion or the publication of Vouchers on the web site or in any email that you receive from us is an invitation to treat.

When ordering a Voucher on the web site, you are making an offer to buy a voucher on the voucher specific terms and on these terms and conditions.

We reserve the right to accept or reject your offer to buy a Voucher for any reason (or no reason). If we cancel your order to buy a Voucher, then we will charge-back the full purchase price to your credit card.

Once you have made an order to purchase a Voucher on the web site, you cannot cancel that order.

Issue of Vouchers

After you have placed an order for a Voucher, you will receive a confirmation of that order by email or by your Account. Your credit card will not be charged for the purchase price of the Voucher until the Minimum Quota has been met.

You will only be issued a Voucher if:

full payment for it has been received by us; and
the Minimum Quota has been met.

A Voucher may take the form of a physical voucher, a unique code or a hyperlink ("Voucher") and may be delivered to you by email, by post or may be downloadable on the web site via your Account.

We are not liable or responsible for any loss suffered by you if a Voucher is not received by you (including, without limitation, because an email was blocked by a firewall or filter or where you have registered an incorrect email address).

Charge backs/No Refunds

If you make an order to buy a Voucher, your credit card will immediately be charged for the full purchase price when the Minimum Quota is met. Until then, we will not charge your credit card with any amount for that Voucher.

Once you have bought the Voucher, you will not be to entitled to any consideration, credit or full or partial refund of the purchase price of an issued Voucher, except as required by law.

Redemption of Vouchers

You may redeem a Voucher that we issue to you with the Merchant in order to receive the goods or service that is the subject of the associated Deal. The Merchant, not us, is the provider of the goods or services and is solely responsible for honouring the Deal that is the subject of the Voucher you bought.

Terms of Voucher

The buyer of a Voucher may be subject to specific terms, conditions, rules or limitations (such as age, health restrictions and other eligibility terms attaching to a Voucher, the Minimum Quota for that Voucher, the expiration date for your redemption of the Voucher with the Merchant) ("Voucher Specific Terms"), which will be communicated to you on the web site before you buy the Voucher that is issued to you. To the extent of any inconsistency between the Voucher Specific Terms and these terms and conditions, the Voucher Specific Terms prevail. When placing an order for a Voucher on the web site, you agree that all Voucher Specific Terms concerning the Voucher will be legally binding on you.

Unless otherwise stated in the Voucher Specific Terms or required by law, the following terms apply to all Vouchers (without limiting these terms and conditions):

Vouchers are not redeemable for cash.
If you do not or cannot use or redeem a Voucher you have purchased in full for any reason, then you will not be entitled to any consideration, credit or full or partial refund on the purchase price of that Voucher, except as required by law.
We are not responsible or liable for your lost or stolen Voucher
The expiration date for a Voucher is as printed on the Voucher and will be quoted on the web site.
All Vouchers are deemed void after the published expiration date and will not be honoured by us or the Merchant.
Expired Vouchers are non-refundable in whole or in part
Vouchers may not, without our prior written consent, be resold or offered for resale, duplicated, used, traded or used for advertising, promotion or other commercial purposes (including competitions and trade promotions) or to enhance the demand for other goods or services.

Refer a friend

You will be rewarded with a $10 credit for every new customer you refer, earning a maximum limit of up to $120 credits. To refer friends you click on "Refer a friend" on the top right hand side of the home page and simply follow the prompts. When emailing friends be sure to use your personal recommendation link provided as this monitors who you refer and calculates when your friends have made purchases via your link. Your friend must make a minimum purchase of any deal that worth more than $20 in order for you to be eligible for the credits. You can view the number of credits you have earned by Logging in to your account from the home page. If no credits show it means your friends have not made purchases via your recommendation link. Once you have earned credits from your referrals you can use them with your next WhyPayFullPrice purchases. You can spend a maximum limit of $10 worth of credits per deal purchased.

Your friend needs to join WhyPayFullPrice for the first time and make a purchase(more than $20) for the first deal directly from your personal link referral in order for you to be eligible for the credits. If your friend makes a purchase within 72 hours of your referral your credits will be "delayed" for seven days to confirm the deal has not been cancelled or withdrawn, and their payment went through successfully. Only then will your credit of $10 appear and eligible for you to redeem on future purchases. Your credit is valid for six months.

We reserve the right to refuse or withdraw credit when the recommendation function is being abused.

Terms of Deals Generally

All Deals are subject to the Merchant's standard terms and conditions and policies. We will use our reasonable endeavours to advise you on the web site of any material terms and conditions and policies of the Merchant that will impact your ability to use or enjoy the goods or services.

You agree that you are responsible for making your own reasonable enquiries with respect to the terms and conditions and policies that a Merchant may place on your use or enjoyment of the relevant goods or services.

Terms of Deals - Services

All Deals relating to services provided by Merchants are subject to availability and may require you to make a booking in advance directly with the Merchant. We cannot guarantee that services will be available to you at your preferred date or time.

You agree that any booking you make with a Merchant may be subject to that Merchant's separate terms and conditions or policies.

If you cancel a service booking you have made directly with a Merchant, the Merchant may charge you a cancellation fee (which may include invalidation or cancellation of your ability to redeem the relevant Voucher).

Terms of Deals - Goods

For Deals relating to products provided by Merchants, you may be required to collect the relevant product from a specified location or to pay a fee to have the product delivered to your delivery address.

Limitation of Liability

Subject to the disclaimer below, neither we nor its related bodies corporate (as that term is defined in the Corporations Act 2001) is not liable to you or anyone else (including for negligence, breach of contract or tort) for any loss or damage (including any form of consequential loss such as any third party loss, loss of profits, loss of revenue, loss of opportunity, loss of anticipated savings, pure economic loss and any increased operating cost) however caused and which is suffered directly or indirectly in connection with a Voucher, a Deal and/or the goods and services that are the subject of a Deal.

Indemnity

You will at all times indemnify, and keep indemnified, us and our directors, officers, employees, agents and related bodies corporate (as that term is defined in the Corporations Act 2001) from and against any loss (including reasonable legal costs and expenses on a full indemnity basis) or liability incurred or suffered by you or by us arising from any claim, demand, suit, action or proceeding by any person against you or us where such loss or liability arose out of, in connection with or in respect of your conduct or breach of any Voucher Specific Terms or other term or condition relating to a Voucher (as specified in these terms and conditions) or a Merchant's standard terms and conditions and policies.

Entries

Incomplete entries or entries not properly completed or received after the close of entry will not be considered.

The judge's decision about anything to do with the Promotion/Competition is final and binding. No correspondence will be entered into about that.

Entry is open to all Australian residents except employees of Magnus, their families and all entities associated with this completion.

The Promotion/Competition starts and ends on the times and dates mentioned below.

You can enter the Promotion/Competition by completing the online form and registering you name and email address on www.whypayfullprice.com.au

Multiple entries are permitted

The winners of the Promotion/Competition will be determined by the first (50) valid entries randomly drawn by Magnus in each entry period.

The first 5 valid entries drawn in each entry period will win $1000 cash.

Total prize pool for each individual prize is valued at $5,000 inc GST.

All prizes must be accepted as offered.

No prize or any part of it can be exchanged or transferred. If part of the prize is awarded to the winner as a voucher, ticket or pass, then acceptance of the prize is subject to the terms and conditions set out on the voucher, ticket or pass.

If your entry is selected as a winning entry then Magnus may verify that entry in its absolute discretion. If your entry is verified to be a winning entry, you will be notified.. You must sign any legal documents requested by Magnus about or relating to verification.

Magnus may, at any time, before or after the closing of entries, verify them, and disqualify you if you tamper with the entry process or use any techniques which in any way, are designed to avoid payments of call costs. You are not permitted to use any automated entry software or any other mechanical or electronic means that allows you to make multiple entries. They will not be accepted.

Magnus may conduct further draws at the same time and place at midday AEST within 2 weeks after the original draw and distribute any prize that remains unclaimed by that date to the winner, subject to any relevant State and Territory laws. Redraw winner will be notified in writing and their names will be published in the Public Notice section of the Australian newspaper. Prize winners will be notified within ten business days after the end of the prize draw by telephone and email, using information given in your entry.

If this completion in the opinion of Magnus is delayed or cannot proceed because of anything beyond its control, it may within its absolute discretion, cancel, terminate, modify or suspend the Promotion/Competition. This clause does not apply if the State Lottery Department gives a written direction to the contrary.

Disclaimer

It is recommended that prize winners seek independent financial advice prior to accepting their prize, in particular advice relating to tax implications that may rise from the prize or winnings.
Magnus will not be held liable for any lost, stolen, forged, damaged or tampered voucher/tickets/passes.
Magnus holds no responsibility for misdirected, lost or late mail which includes but is not limited to prizes.
Any damage to a prize during transit for its delivery will not be Magnus' responsibility and Magnus will not be held liable for this damage.
You must assume all responsibility in ensuring all care is undertaken in submitting correct details for the online form. Should an error occur, Magnus accepts no responsibility for any consequences. This includes, but is not limited to costs incurred as a result of the error.

Magnus is not liable for incorrect or inaccurate information which results from a technical error such as that from any equipment or programming which is associated with or utilised in this Promotion/Competition. This includes any combination of error which may result during the course of the administration of this Promotion/Competition. These include but are not limited to omissions, delays, interruptions and defects in operation or transmission, failure of communication (e.g. through a telephone, mobile or satellite network) or any unauthorized access to or alteration of entries and its consequences.

Exception to disclaimer

This disclaimer set out in these terms and conditions does not attempt or purport to exclude liability arising under statute if, and to the extent, such liability cannot be lawfully excluded.
